Terms of Service

1. Agreement to Terms

By accessing or using OnBook ("Service"), operated by TeddyLabs LLC, a Wyoming limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization.

2. Description of Service

OnBook is a cloud-based appointment scheduling platform that helps professionals manage their bookings, clients, and business operations. Our Service includes:

• Online appointment scheduling and calendar management
• Client relationship management (CRM) features
• Automated email and SMS reminders
• Payment processing integration
• Analytics and reporting tools
• Third-party calendar integrations (Google Calendar, etc.)

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

4. Subscription Plans and Billing

OnBook offers various subscription plans, including a free tier and paid plans with additional features. By selecting a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate billing information
• Authorize us to charge your payment method on a recurring basis

Free Trial: New accounts may be eligible for a 14-day free trial of our paid features. At the end of the trial, you will be charged for the selected plan unless you cancel or downgrade before the trial ends.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial billing periods.

Price Changes: We reserve the right to modify our pricing with 30 days notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Send spam or unsolicited communications
• Upload malicious code or attempt to compromise system security
• Interfere with other users' access to the Service
• Collect user data without proper consent
• Use the Service for any fraudulent or deceptive purposes
• Resell or redistribute the Service without authorization

6. Intellectual Property

The Service and its original content, features, and functionality are owned by TeddyLabs LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of providing the Service.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that your collection and use of client data through the Service complies with applicable privacy laws and regulations, including obtaining necessary consents.

8. SMS/Text Messaging Terms

OnBook may send SMS (text) messages to end users who provide their phone number when booking an appointment. By providing your mobile phone number during the booking process, you expressly consent to receive appointment-related text messages from OnBook, including:

• Appointment confirmations
• Appointment reminders (typically sent 24 hours and 2 hours before your appointment)
• Cancellation or rescheduling notifications

Message Frequency: Message frequency varies based on your appointment activity. You will typically receive 1-3 messages per appointment.

Message and Data Rates: Message and data rates may apply. OnBook does not charge for sending text messages, but your mobile carrier may charge standard messaging rates.

Opt-Out: You may opt out of receiving text messages at any time by replying STOP to any message. After opting out, you will receive a one-time confirmation message. You will no longer receive text messages from OnBook unless you opt in again.

No Marketing Messages: We only send transactional messages related to your appointments. We do not send promotional, marketing, or advertising messages via SMS. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Consent Not Required for Purchase: Consent to receive text messages is not required as a condition of booking an appointment. You may book appointments without providing a phone number.

Supported Carriers: SMS messaging is supported by most major US carriers. Carriers are not liable for delayed or undelivered messages.

9. Third-Party Integrations

The Service may integrate with third-party services (e.g., Google Calendar, Stripe, Twilio). Your use of these integrations is subject to the third party's terms and privacy policies. We are not responsible for the practices of third-party services.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEDDYLABS LLC AND ONBOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless TeddyLabs LLC, OnBook, and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. You may export your data before termination. We may retain certain data as required by law or for legitimate business purposes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Wyoming.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
